content license agreement

This Content License Agreement (“Agreement”) is between AbaCreativeDesigns (“Licensor”) and the user (“Licensee”) purchasing digital content from the AbaCreativeDesigns website.

GRANT OF LICENSE: 

Licensor grants Licensee a NON-EXCLUSIVE, NON-TRANSFERABLE license to use the digital content (“Content”) available on AbaCreativeDesign’s website. This license is limited to PERSONAL, NON-COMMERCIAL use unless explicitly stated otherwise in the purchase agreement.

PERMITTED USE: 

The Licensee may use the Content for PERSONAL USE ONLY. Redistribution, resale, sublicensing, or modification of the Content without prior written consent from the Licensor is strictly prohibited.

INTELLECTUAL PROPERTY RIGHTS:

All intellectual property rights, including copyright, in and to the Content remain with the Licensor. This Agreement does not transfer any ownership rights of the Content to the Licensee.

RESTRICTIONS:

The Licensee agrees not to:

    • Use the Content for any unlawful or immoral purposes.
    • Remove any copyright or proprietary notices from the Content.
    • Reproduce, duplicate, or create derivative works from the Content without authorization.

TERMINATION:

This license is effective until terminated. The Licensee’s rights under this Agreement will terminate automatically without notice if the Licensee breaches any provision of this Agreement.

WARRANTY AND LIABILITY:

The Content is provided “as is” without any warranties, expressed or implied. The Licensor shall not be liable for any damages arising from the use or inability to use the Content.

GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.

ENTIRE AGREEMENT:

This Agreement constitutes the entire understanding between the parties concerning the use of Content and supersedes all prior agreements, whether written or oral.

AMENDMENTS:

No amendment or modification of this Agreement shall be valid unless made in writing and signed by both parties.
